Terms of Service

1. Acceptance of these terms

These Terms of Service (the “Terms”) are a binding agreement between you and Origin Labs, operated by Origin Labs LLC (“Origin Labs,” “we,” “us,” or “our”). By accessing www.origin-labs.org, creating an account, or placing an order, you accept these Terms together with our Research Use Policy, Privacy Policy, Shipping Policy, Cancellation & Refund Policy, and Disclaimer, each of which is incorporated by reference. If you do not agree, do not use the site or purchase our products.

2. Eligibility

To use our services and purchase products, you represent and warrant that you:

• Are at least 21 years of age;
• Are a qualified researcher, or are purchasing on behalf of a laboratory, academic institution, or research organization, with the training and facilities to handle research chemicals safely;
• Will use products solely for lawful, in-vitro laboratory research purposes;
• Provide accurate, current, and complete account and order information; and
• Are legally permitted to purchase and possess the products in the jurisdiction to which they will be shipped.

We use a researcher gate and a required checkout acknowledgment to confirm eligibility. The acknowledgment text you accept, its version, and technical details of your acceptance (such as IP address and browser user agent) are recorded with your order.

3. Research use only — limited license

All products sold by Origin Labs are supplied strictly for in-vitro laboratory research use only. They are not drugs, foods, food additives, cosmetics, medical devices, or dietary supplements, and they have not been evaluated or approved by the U.S. Food and Drug Administration for any use. Purchase conveys only a limited right to use the products for legitimate laboratory research, subject to these Terms and our Research Use Policy. No other license or right is granted or implied.

4. Prohibited uses of products

You agree that you will not, and will not permit any third party to:

• Introduce any product into a human or animal body, or use any product in or on food;
• Use any product for diagnostic, therapeutic, clinical, veterinary, cosmetic, or other personal purposes;
• Resell, repackage, or distribute products for any form of consumption or personal use;
• Make medical, health, or administration claims about products in connection with any resale or distribution; or
• Use products in violation of any applicable law, regulation, or institutional policy.

We may refuse or cancel orders, terminate accounts, and pursue all available legal remedies if we believe products are being purchased for a prohibited use.

5. Accounts

When you create an account with us, you are responsible for:

• Account security — maintaining the confidentiality of your login credentials.
• Account activity — all activity that occurs under your account.
• Accurate information — keeping your account information current and correct.
• Unauthorized access — notifying us promptly at support@origin-labs.org of any suspected breach or unauthorized use.

6. Ordering & payment

Placing an order constitutes an offer to purchase that Origin Labs may accept or refuse at its sole discretion. An order confirmation does not constitute acceptance; your order is accepted when payment has been verified and the products are shipped.

• Payment method. We accept payment by Venmo, Zelle, or Cash App, sent manually according to the instructions provided at checkout, or by cryptocurrency (Bitcoin, Ethereum, or USDC) sent to the address shown at checkout. We do not accept credit or debit cards, and we never receive or store card numbers or bank credentials.
• Manual verification. Orders remain pending until your payment is manually verified by our staff. Inventory is not reserved until payment is verified. Orders that remain unpaid may be cancelled.
• Taxes. Prices are listed in U.S. dollars. We do not currently collect sales tax; you remain responsible for any taxes or duties that may apply to your purchase under the laws that govern you.

7. Pricing & errors

Prices and product availability are subject to change without notice. We reserve the right to:

• Refuse or cancel any order at our discretion, including after an order is placed;
• Limit quantities available for purchase per order or per customer;
• Correct pricing, description, or availability errors — if an error affects an order you have already paid for, we will contact you and offer to reconfirm at the correct price or cancel with a full refund; and
• Modify or discontinue products without notice.

8. Shipping & risk of loss

We ship within the United States only. Shipping terms, processing times, and tracking details are described in our Shipping Policy. Unless otherwise required by applicable law, all products are sold FOB shipping point: title and risk of loss pass to you when we deliver the package to the carrier. We will reasonably assist with carrier claims for shipments lost or damaged in transit as described in the Shipping Policy.

9. Cancellations, returns & refunds

Cancellation and refund terms — including our policy that shipped research materials are generally not returnable due to chain-of-custody and product-integrity concerns — are set out in our Cancellation & Refund Policy, which is part of these Terms.

10. Certificates of Analysis

Certificates of Analysis (COAs) are provided for reference on a per-product basis. A COA reflects analytical results for the tested lot at the time of testing. COAs are informational only and are not a warranty of merchantability, fitness for a particular purpose, or suitability for any specific research application.

11. Intellectual property

All content on this website — including text, graphics, logos, images, product descriptions, and software — is the property of Origin Labs or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, scrape, or create derivative works from site content without our prior written consent.

12. Acceptable use of the site

When using the site, you agree not to:

• Violate any applicable law or these Terms;
• Attempt to gain unauthorized access to any account, system, or data;
• Interfere with or disrupt the site, its infrastructure, or its security features;
• Use bots, scrapers, or automated means to access the site without permission; or
• Submit false, misleading, or fraudulent information or orders.

13. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. ORIGIN LABS DOES NOT WARRANT THAT PRODUCTS ARE SUITABLE FOR ANY PARTICULAR RESEARCH APPLICATION, THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY INFORMATION ON THE SITE IS COMPLETE OR CURRENT. NO ORAL OR WRITTEN INFORMATION PROVIDED BY ORIGIN LABS, INCLUDING ANY CERTIFICATE OF ANALYSIS, CREATES A WARRANTY.

14. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORIGIN LABS AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR RESEARCH RESULTS — ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ALL CASES, ORIGIN LABS'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15. INDEMNIFICATION

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS ORIGIN LABS AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING FROM OR RELATED TO: (A) YOUR USE, MISUSE, HANDLING, STORAGE, OR DISPOSAL OF ANY PRODUCT, INCLUDING ANY ADMINISTRATION OF A PRODUCT TO ANY HUMAN OR ANIMAL; (B) YOUR VIOLATION OF THESE TERMS OR ANY INCORPORATED POLICY; (C) YOUR VIOLATION OF ANY LAW OR THIRD-PARTY RIGHT; OR (D) ANY STATEMENT OR CLAIM YOU MAKE ABOUT OUR PRODUCTS TO ANY THIRD PARTY. THIS OBLIGATION SURVIVES TERMINATION OF YOUR ACCOUNT AND THESE TERMS.

16. Compliance with laws

You are solely responsible for determining whether the purchase, possession, handling, and use of any product is lawful in your jurisdiction and at your institution, and for complying with all applicable federal, state, and local laws, regulations, and policies, including those governing laboratory safety and chemical storage and disposal.

17. Export restrictions

We sell and ship within the United States only. You may not export, re-export, or otherwise transfer products outside the United States, and you may not purchase products on behalf of any person or entity located outside the United States.

18. Termination

We may suspend or terminate your account and refuse current or future orders at any time, without notice, if we believe you have violated these Terms, our Research Use Policy, or applicable law. Sections of these Terms that by their nature should survive termination — including Sections 3, 4, 10, and 13 through 17 — will survive.

19. Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

20. Changes to these terms

We may modify these Terms at any time. Changes become effective when posted to this page with an updated “Last updated” date. Your continued use of the site or placement of an order after changes are posted constitutes acceptance of the updated Terms.

21. Governing law

These Terms are governed by the laws of the state in which Origin Labs LLC is organized, without regard to conflict-of-law principles. Any dispute arising from these Terms or your purchase shall be brought exclusively in a court of competent jurisdiction in that state.
